Difference Between 13D And 13G Filings
Schedule 13D is an SEC filing that must be submitted to the US Securities and Exchange Commission within 10 days by anyone who acquires beneficial ownership of more than 5% of any class of publicly traded securities in a public company. If the investor intends to influence management they are considered to be an activist investor and required to file a 13D. If the investor does not intend to influence management they are considered to be a passive investor and required to file a 13G.
This week we’ll take a look at Howard Marks. The current market value of his portfolio is $5,304,503,000. Take note of the filing type 13D (activist), 13G (passive). Also included is the current ownership stake in the target company.
