Difference Between 13D And 13G Filings

Basically, any investor that takes a 5% position in a company has to file a beneficial ownership filing in the form of a 13D or 13G, within ten days of the event. If the investor does not intend to influence management they are considered to be a passive investor and required to file a 13G. If the investor intends to influence management they are considered to be an activist investor and required to file a 13D.

This week we’ll take a look at Dan Loeb. The current market value of his portfolio is $8,696,857,000. Take note of the filing type 13D (activist), 13G (passive). Also included is the current ownership stake in the target company.
